Channel Partner Agreement Process

An independent channel partner interested to pursue a business with Seeloz, is first asked to complete the Seeloz PartnerAIM Channel Partner Application found at A simple, straightforward form is what you will complete and submit. A complete form will help introduce us to your practice and the markets you service. We respond to all applications within 5 business days.

With a complete and approved application, a channel partner agreement will be sent to you privately and securely for consideration and signature. Once digital signature process is triggered, the agreement will be sent through Docusign to the proper signatory previously identified. Once execution is complete the new partner will be granted credentials for accessing the PartnerAIM portal providing access to useful and valuable information for the partner. This is a short and simple process meant to cover a few fundamentals and keeping the focus on VAI business objectives of interest.

The PartnerAIM Channel Partner Agreement

As you proceed through the application process, you will be sent the channel partner agreement. To address any initial questions about the PartnerAIM Channel Partner Agreement prior to completion of the application, the following elements comprise the entirety of the agreement.

Like many business agreements between business partners, this to begins with identifying Seeloz and partner as business entities that intend to enter into a business arrangement supported by the Channel Partner Agreement. 3 - Confidentiality

This section covers different dimensions of keeping select information confidential be it shared business information as well as the management of user data.

4 - Partner Obligations

Covers the partner role relative to sales, marketing, service delivery and service pricing

5 - Seeloz Obligations

Covers Seeloz obligations relatie to provisioning, pricing, marketing and ongoing partner training

6 - Financial Terms

Covers revenue share, account opportunity assignment and payment terms

For revenue share a reseller will be entitled to receive from Seeloz a revenue share of 10% of the Seeloz Ongoing Revenue in return for your Sales and Account Management activities defined in the agreement and/ or, 5% of the Seeloz Ongoing Revenue in return for the ongoing System Integration activities defined in this agreement.

7 - Term

The initial term and renewal term is covered in this section.

8 - Warranties

This section simply describes that the parties self identify as legitimate business entities operating within the correct and legal constructs of the geographies where business is pursued. The Agreement is acknowledged to be duly executed and constitutes a valid and binding agreement, enforceable in accordance with its terms.

9 - Indemnification

This section describes how the parties agrees to defend, indemnify, and hold harmless the other party, ( the "Indemnified Party"), from and against any claim, suit or proceeding of a third party ("Claim") that is based on or arises out of the Indemnifying Party's breach of this agreement, or the negligence or misconduct of the Indemnifying Party.

10 - Limitation of Liability

This section covers the limitation of liability- essentially that, neither of the parties will not be liable to one another concerning indirect, incidental, consequential, special or exemplary damages.

11 - Miscellaneous

This section covers a variety of different things like taxes, relationship, non exclusivity, assignments and public announcements as well as the elements governing when called for, how the parties dissolve the relationship.

12 - Entire Agreement, Counterparts

This Agreement, and all other documents incorporated herein by reference, constitutes the complete and exclusive Agreement between the parties with respect to the subject matter hereof. This Agreement may be executed in two or more counterparts, each of which will be deemed an original, but all of which together shall constitute one and the same instrument.
